Due diligence is now regarded as one of the most important pre-deal activities and a well-structured, detail-oriented approach to an M&A or financing transaction is the best way to enhance shareholder value. KPMG can help clients complete value-accretive transactions by providing services that include an independent evaluation of the target, to assistance with the structuring of the transaction to successful closing.

We provide support throughout the transaction life cycle on both the "buy side" and "sell side," to both strategic and financial buyers including private equity sponsors and institutional lenders.

With a global network of over 1,800 transaction professionals focused on M&A transactions divestitures and financing transactions KPMG’s global reach provides our clients with support for domestic and cross border transactions and the ability to deal with multinational transactions efficiently.

KPMG provides professional support to a variety of transactions. Specifically, we can help with:

  • Pre-deal evaluation – for acquisitions and divestitures we identify key risks and potential deal breakers, assess the strengths and weaknesses of the business against industry benchmarks, and assist with the evaluation of the potential transaction in the context of your existing business;
  • Transaction evaluation (due diligence) – we help assess the key issues facing the business and the drivers behind maintainable profits and cash flows. We provide an investigative analysis of a business, typically including results/projections, tax, cash flows, commercial issues, management information, systems and controls, pensions, compensation, benefits, legal issues and environmental matters;
  • Strategic and Commercial Intelligence – we carry out commercial and operational due diligence combined with customer, supplier and trade interview analysis. We also provide commercial analysis of relationships and operations, and carry out market studies;
  • Vendor due diligence – at an early stage of the disposal process we will supply an independent analysis and evaluation of the financial, commercial and operational performance of the business;
  • Vendor assistance –include assisting with carrying out pre-sale reviews and pre-sale due diligence, carve outs, assistance with information memoranda and data rooms, addressing purchaser queries, purchase price adjustments, warranty and indemnity claims;
  • Transaction structuring – we assist with the creation of efficient deal structures, with consideration of the taxation, accounting, and commercial issues relevant to the transaction;
  • Business Integration – we can help purchasers identify deal synergies early in the acquisition process- and track and manage them throughout the life cycle of the acquisition. From start to finish, we can help identify integration risks, develop plans to address them, and manage the details of integration.
